Terms of Service

Welcome to ODYSS. These Terms & Conditions ("Terms") govern your use of the ODYSS website at odyss.life and any associated online store (collectively, the "Site"), the ODYSS smart necklace and related hardware accessories (the "Device"), and the ODYSS companion mobile application, including any subscription-based features and services therein (the "App", together with the Site and Device, the "Services"). The Services are owned and operated by OdyssLife.Inc ("we", "us", "our", or "ODYSS").
By accessing or using any of the Services, you ("you", "your", or "User") agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Services.

1. Definitions

Subscription
Any recurring paid plan for App features, billed on a monthly or annual basis.
Products
The Device, App, and any peripherals, accessories, or merchandise sold through the Site.
Content
All text, graphics, images, audio, video, data, and software provided through the Services.

2. Account Registration

2.1 You must be at least 18 years old to create an account and use the Services.
2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3 You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3. Product Purchase Terms

3.1 Orders

All orders placed through the Site constitute offers to purchase. An order is deemed accepted only when the Product has been shipped. We reserve the right to refuse or cancel any order for any reason, including suspected fraud, pricing errors, or Product unavailability.

3.2 Pricing

All prices are displayed in the applicable currency and include applicable taxes unless otherwise stated. We reserve the right to change prices at any time; however, price changes will not affect orders already placed.

3.3 Resale Restriction

Products are sold for personal, end-user consumption only. We reserve the right to refuse or cancel orders suspected of being placed for resale purposes.

4. Subscription Services

4.1 Subscription Plans

Certain App features may require a paid Subscription. Subscriptions are available on a monthly or annual basis, as selected at the time of purchase.

4.2 Auto-Renewal

Your Subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current rate, unless you cancel before the renewal date. We will charge the payment method on file at the beginning of each new billing period.

4.3 Free Trial

If we offer a free trial period, you will not be charged during the trial. You must cancel before the trial ends to avoid being charged. If you do not cancel, your Subscription will begin automatically at the end of the trial period, and your payment method will be charged according to the then-applicable rate.

4.4 Cancellation

You may cancel your Subscription at any time through your account settings or by contacting us at contact@odyss.life. Cancellation takes effect at the end of your current billing period — you will retain access to Subscription features until then.

4.5 Subscription Refunds

No refunds for partial billing periods. We do not provide refunds or prorated credits for any unused portion of a Subscription period.
No refunds after use. Once you have accessed or used Subscription features during a billing period, that period is non-refundable.
Free trial periods are not eligible for any refund or credit.
We may, at our sole discretion, offer refunds, discounts, or other accommodations. Any such offering does not create an ongoing obligation.

4.6 Price Changes

We reserve the right to adjust Subscription pricing. If we increase the price, we will notify you at least 30 days before the change takes effect via the email associated with your account. Continued use of the Services after the price change constitutes acceptance of the new price. If you do not agree, you may cancel before the change takes effect.

5. Payment Terms

5.1 By providing a payment method, you represent and warrant that you are authorized to use it and authorize us (or our payment processors) to charge the total amount for your purchase.
5.2 If your payment method cannot be verified, is invalid, or is otherwise not acceptable, your order or Subscription may be suspended or cancelled.
5.3 For installment-based purchases through third-party providers, installment payments (including interest) may become due before all items in your order have shipped. Interest accrued on subsequently refunded amounts may not be recoverable.

6. Return & Refund

6.1 Hardware returns, subscription refund rules, EU consumer withdrawal rights, and crowdfunding order policies are governed in detail by our Return & Refund Policy, which is incorporated by reference into these Terms.
6.2 In the event of any conflict between these Terms and the Return & Refund Policy on return/refund matters, the Return & Refund Policy shall prevail.

6.1 Hardware Returns

You may request a return of the Device within 30 days of delivery, subject to the conditions outlined in our Return & Refund Policy. Return shipping costs are the responsibility of the customer unless the return is due to a verified quality issue.

6.2 Subscription Cancellation vs. Refund

Cancelling a Subscription stops future billing only — it does not generate a refund for the current or prior billing periods. See Section 4.5 above.

6.3 Crowdfunding Orders

Orders placed through our Kickstarter campaign are subject to separate terms. See Section 12 below and our Return & Refund Policy for details.

7. Limited Warranty

7.1 ODYSS warrants that the Device will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of original purchase by the end user.
7.2 This Limited Warranty does not cover:
  • Normal wear and tear, including scratches and dents
  • Damage caused by misuse, accident, fire, flood, or other external factors
  • Damage from service, modification, or repair by unauthorized third parties
  • Consumable components (e.g., battery), unless the damage is due to a material or workmanship defect
  • Use of the Device with unauthorized software or accessories
7.3 Our sole obligation under this Limited Warranty is to repair or replace the defective Device at our discretion. Replacement Devices may be new or refurbished.
7.4 Repair or replacement Devices are warranted for the remainder of the original warranty period or ninety (90) days, whichever is longer.
7.5 This Limited Warranty is in addition to, and does not affect, any statutory rights you may have under applicable local law (e.g., the EU 2-year statutory warranty for consumers).

8. User Responsibilities

8.1 You agree to use the Services only for lawful purposes and in accordance with these Terms.
8.2 You shall not:
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the App
  • Use automated systems (bots, scrapers) to access the Services beyond what a human user could reasonably generate
  • Use the Services to infringe upon the intellectual property or other rights of any third party
  • Attempt to probe, scan, or exploit vulnerabilities in our systems
  • Share your account credentials with any third party
8.3 You are responsible for maintaining compatible hardware, software, and network access to use the Services.

9. Intellectual Property

9.1 All Content, trademarks, trade names, logos, and other intellectual property displayed on or through the Services are owned by or licensed to ODYSS. All rights are reserved.
9.2 No license or right is granted to you to use any trademark, logo, or other intellectual property displayed on the Services, except as expressly provided in these Terms.
9.3 If you provide feedback, suggestions, or ideas regarding the Services, ODYSS may use such feedback freely and without obligation to you.

10. Data & Privacy

10.1 Our collection and use of personal data in connection with the Services is governed by our Privacy Policy, which is incorporated by reference into these Terms.
10.2 The Device and App may collect dietary and health-related data, voice data, device data, and location information where enabled. By using the Services, you consent to such data collection as described in the Privacy Policy.
10.3 You may exercise your data rights (access, correction, deletion, portability) as described in the Privacy Policy by contacting us at contact@odyss.life.

11. Medical Disclaimer

The Services are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
All information provided through the Services is for informational and wellness purposes only and should not be used as a substitute for professional medical advice.
Always consult a qualified healthcare professional before making any changes to your health, diet, nutrition, or activity routines based on information from the Services.
If you experience any discomfort, skin irritation, or other adverse effects while wearing the Device, discontinue use immediately and consult a healthcare professional.

12. Crowdfunding (Kickstarter) Terms

Orders placed through our Kickstarter campaign are subject to Kickstarter Terms of Service and the crowdfunding-specific terms set forth in Section 5 of our Return & Refund Policy, which is incorporated by reference into these Terms.
12.1 Orders placed through our Kickstarter campaign are subject to Kickstarter Terms of Service and the following additional conditions.
12.2 During the campaign: No funds are collected until the campaign ends successfully and the funding goal is met. You may cancel or modify your pledge at any time before the campaign ends through your Kickstarter account.
12.3 After the campaign: If the campaign is successfully funded, your payment will be processed. Post-campaign refund requests will be handled per Kickstarter platform procedures and our Return and Refund Policy.
12.4 Shipping delays: Production timelines are estimates. Shipping delays do not constitute grounds for a refund unless the delay exceeds 90 days beyond the original estimated delivery date.
12.5 Product changes: We reserve the right to make minor modifications to product specifications, design, or materials during production. Significant changes will be communicated to backers. Minor adjustments that do not materially affect product performance do not constitute grounds for a refund.

13. Limitation of Liability

13.1 To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
13.2 In no event shall ODYSS be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Services.
13.3 In no event shall our total liability to you exceed the greater of: (a) the amount you paid for the specific Product or Service giving rise to the claim; or (b) $100 USD.
13.4 These limitations apply regardless of the legal theory and even if ODYSS has been advised of the possibility of such damages.
13.5 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless ODYSS and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right.

15. EU Consumer Rights

15.1 EU consumers are entitled to the rights set forth in our Return & Refund Policy Section 4.2 (14-day right of withdrawal) and Section 2 (return conditions), including applicable shipping and refund procedures.
15.2 For Subscriptions, the 14-day cooling-off period applies; however, if you have accessed or used Subscription features during that period, the right of withdrawal may be partially or fully forfeited per applicable EU law (see Section 4.5).
15.3 EU consumers are entitled to a minimum 2-year statutory warranty under the EU Consumer Sales Directive, which applies in addition to our Limited Warranty (Section 7).

15.1 Right of Withdrawal (Hardware)

If you are a consumer in the European Union, you have the right to withdraw from a purchase within 14 calendar days without giving any reason, in accordance with the EU Consumer Rights Directive. The withdrawal period expires 14 days after you take physical possession of the Device. To exercise this right, contact us at contact@odyss.life with a clear statement of withdrawal. You must return the Device within 14 days of notifying us. You bear the direct cost of returning the Device.

15.2 Right of Withdrawal (Subscription)

If you are an EU consumer and wish to withdraw from a Subscription within the 14-day cooling-off period, you may do so and receive a full refund, provided you have not accessed or used the Subscription features during that period. If you have accessed Subscription features, the right of withdrawal may be partially or fully forfeited in accordance with applicable EU law.

15.3 Statutory Warranty

EU consumers are entitled to a minimum 2-year statutory warranty under the EU Consumer Sales Directive, which applies in addition to our Limited Warranty.

16. Termination

16.1 We may suspend or terminate your access to the Services at any time, with or without cause, with 30 days prior notice (except in cases of material breach, fraud, or security concerns).
16.2 You may terminate these Terms at any time by discontinuing use of the Services and cancelling any active Subscriptions.
16.3 The following sections survive termination: Intellectual Property (Section 9), Medical Disclaimer (Section 11), Limitation of Liability (Section 13), Indemnification (Section 14), and any accrued payment obligations.

17. Modifications

17.1 We reserve the right to modify these Terms at any time by posting updated Terms on the Site.
17.2 We will notify you of material changes via the email associated with your account at least 30 days before they take effect.
17.3 Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.

18. Governing Law

Jurisdiction
Governing Law
United States
Laws of the State of Delaware, without regard to conflict of law principles. Disputes resolved in Delaware courts.
European Union
Laws of your country of residence. Disputes resolved in your local jurisdiction, per EU consumer protection regulations.
Other
Laws of Delaware, USA, unless local mandatory consumer protection laws provide otherwise.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Return and Refund Policy, constitute the entire agreement between you and ODYSS regarding the use of the Services, and supersede all prior agreements and understandings.
